Terms of Service

The agreement

These terms are a contract between you and Setupp ("Setupp", "we", "us"). They apply when you create a workspace, use usesetupp.com, embed our booking widget, or book a meeting through a page we host. If you do not agree with them, do not use the service.

If you accept these terms on behalf of a company, you confirm you are authorised to bind that company, and "you" means that company.

What Setupp does

Setupp lets you publish a booking page, ask qualifying questions before showing availability, decline requests that do not meet the rules you set, rate the ones that do from 0.0 to 10.0, and write the resulting meeting to the calendars of every host on the event.

Setupp is a scheduling tool. It is not a party to the meetings you arrange through it, it does not vet the people who book with you, and it makes no representation about them.

Accounts and workspaces

You are responsible for everything that happens under your workspace, including the actions of the people you add to it. Keep your sign-in credentials to yourself and tell us promptly at support@usesetupp.com if you believe an account has been compromised.

You must be at least 16 years old and legally able to enter a contract. Setupp is a business product and is not directed to children.

Hosts, plans and pricing

Setupp is priced per workspace, not per user. Every plan includes a number of hosts: Free includes 1 host and 1 event type, Pro includes 3 hosts, Team includes 10, and Business includes 50. Bookings, intake submissions and Setupp Scores are not metered on any plan.

A host is anyone who can be placed on a booking. When you exceed the host limit on your plan, you move up a tier. That is the only pricing event in the product.

Paid plans are billed in advance for the period you select and renew automatically until you cancel. Cancelling stops the next renewal and leaves your workspace active until the end of the period you already paid for. Fees already paid are non-refundable except where the law requires otherwise. Prices exclude taxes, which are added where applicable. We may change prices with at least 30 days' notice by email to workspace owners; the change takes effect at your next renewal.

Your content and your data

You own everything you put into Setupp: your event types, intake questions, qualification rules, scoring profile, and your booking records. We claim no ownership of it.

You grant us the limited licence needed to host, process, transmit and display that content so we can operate the service for you, and nothing beyond that. We do not sell it and we do not use it to train generalized AI models. How we handle it is set out in our Privacy Policy, which forms part of these terms.

You are responsible for having a lawful basis to collect the information your intake form asks for, and for the accuracy of the decline messages and criteria you write. Do not use intake questions to collect payment card numbers, government identifiers, health information, or other sensitive categories of data.

Acceptable use

You agree not to use Setupp to:

Send unsolicited bulk messages, or route traffic to a booking page through spam. Impersonate another person or organisation. Harass, defraud, or discriminate against the people who book with you on any basis prohibited by law. Upload malicious code. Probe, scrape, or overload our infrastructure, or circumvent rate limits, host limits, or plan restrictions. Resell the service or present it as your own product without a written agreement with us. Reverse engineer the service except to the extent that restriction is unenforceable where you live.

We may suspend a workspace that is breaking these rules, or that is causing harm to other users or to our infrastructure. Where it is reasonable to do so, we will tell you first and give you a chance to fix it.

The Setupp Score

The Setupp Score is a rating produced from the intake answers a person submits, measured against the criteria you wrote. It is an aid to your judgement, not a decision. It is generated automatically, it can be wrong, and you should not rely on it as the sole basis for any decision that materially affects a person.

You are responsible for the criteria you configure and for the consequences of applying them, including compliance with any law that governs how you may select or refuse the people you do business with.

Third-party services

Connecting a Google Calendar is optional. When you connect one, your use of Google services remains governed by your agreement with Google, and Google may change or withdraw its APIs at any time. The same applies to any other calendar, conferencing or payment provider you connect. We are not responsible for those services, and an outage or policy change on their side may interrupt features that depend on them.

You can disconnect a calendar at any time from your dashboard, or revoke our access directly at myaccount.google.com/permissions.

Availability

We work to keep Setupp available and we will give reasonable notice of planned maintenance where we can. We do not currently offer a contractual uptime commitment, and we would rather say so plainly than publish a number we are not yet prepared to stand behind.

We may change, add or remove features. If we remove something you depend on, or make a change that materially reduces the service, we will email workspace owners before it takes effect.

Disclaimer

Setupp is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that availability shown on a booking page will always match your calendar.

Nothing in these terms excludes any warranty or right that cannot lawfully be excluded where you live.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, even if advised such damages were possible.

Our total liability arising out of or relating to these terms is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

These limits do not apply to either party's liability for fraud, wilful misconduct, or anything else that cannot be limited by law.

Indemnity

You will defend and indemnify Setupp against third-party claims arising from your content, your intake questions and qualification criteria, your use of the service in breach of these terms, or your violation of any law or of another person's rights.

Termination

You may stop using Setupp and delete your workspace at any time. Deleting a workspace removes your event types, bookings, intake answers, scores and stored calendar tokens, and that removal is permanent.

We may suspend or terminate a workspace for a material breach of these terms, for non-payment, or where required by law. Except in cases of abuse or legal compulsion, we will give you notice and a reasonable opportunity to export your data first. The sections on your content, disclaimers, liability, indemnity and governing law survive termination.

Changes to these terms

We may update these terms. The date at the top of this page always reflects the current version. For material changes we will email workspace owners at least 30 days before they take effect. Continuing to use Setupp after that date means you accept the updated terms; if you do not, cancel before they take effect.

General

These terms, together with the Privacy Policy, are the entire agreement between us about the service. If a provision is found unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor in a merger or acquisition.

These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protection in the country where you live.
